Please Read These Terms Carefully

Welcome to Zevitech Automation. These Terms & Conditions govern your access to and use of our website and ecommerce automation services across Amazon, TikTok Shop, Walmart, and eBay. By engaging with our services, you confirm that you have read, understood, and agreed to be legally bound by these terms.

If you do not agree to any part of these Terms & Conditions, you must discontinue use of our website and services immediately. We reserve the right to update these terms at any time, and your continued use of our services constitutes acceptance of any changes.

01. Definitions

Key Terms Used in This Agreement

For the purposes of this agreement, the following definitions apply throughout:

  • "Company" / "We" / "Us": Refers to Zevitech Automation and its team members, agents, and representatives.
  • "Client" / "You": Refers to any individual or business entity that engages with our website or purchases our services.
  • "Services": Refers to all ecommerce automation and store management solutions offered by Zevitech Automation, including Amazon FBA/FBM, TikTok Shop, Walmart, and eBay management.
  • "Platforms": Refers to third-party marketplaces — Amazon, TikTok Shop, Walmart, and eBay — on which we operate client stores.
  • "Agreement": Refers to the service contract, onboarding documents, and these Terms & Conditions collectively.
02. Services Overview

What Zevitech Automation Provides

Zevitech Automation provides done-for-you ecommerce store management services. Our offerings include, but are not limited to:

  • Amazon FBA & FBM Management: Full-service Amazon store setup, product sourcing, listing optimization, inventory management, and order fulfillment.
  • TikTok Shop Automation: Store creation, product listing, content strategy support, and order processing on TikTok Shop.
  • Walmart Store Management: Walmart Seller account setup, catalog management, pricing strategy, and fulfillment coordination.
  • eBay Store Management: eBay store setup, product listing, buyer communication management, and performance optimization.
  • Reporting & Analytics: Regular performance reports, sales analytics, and growth strategy recommendations delivered to clients.

The exact scope of services for each client is defined in their individual service agreement signed at onboarding. Any services not explicitly listed in that agreement are outside the scope of our engagement unless separately agreed upon in writing.

03. Client Responsibilities

Your Obligations as a Client

To enable us to deliver our services effectively, you agree to the following responsibilities:

  • Account Access: Provide accurate and complete access credentials to your marketplace seller accounts (Amazon, TikTok Shop, Walmart, eBay) as required for store management.
  • Accurate Information: Ensure all information provided to Zevitech Automation — including business details, bank information, and tax documents — is truthful and up to date.
  • Capital Requirements: Maintain sufficient funds in your accounts to cover inventory purchases, platform fees, advertising spend, and other operational costs as outlined in your service agreement.
  • Timely Communication: Respond to requests from our team in a timely manner and promptly notify us of any changes to your marketplace accounts, business structure, or contact information.
  • Compliance: Ensure your business entity complies with all applicable local, national, and international laws, including tax obligations, marketplace seller policies, and import/export regulations.
  • No Interference: Refrain from making unauthorized changes to your store settings, listings, or account configurations without prior coordination with our management team.
04. Fees & Payment

Pricing, Billing & Payment Terms

All fees, payment schedules, and billing terms are established in your individual service agreement. The following general terms apply:

  • Management Fees: Zevitech Automation charges a management fee as specified in your service agreement. Fees may be structured as a flat monthly retainer, a revenue-share percentage, or a combination of both.
  • Payment Schedule: Invoices are issued according to the billing cycle agreed at onboarding. Payments are due within the timeframe specified on each invoice.
  • Late Payments: Overdue payments may result in a temporary suspension of services. Zevitech Automation reserves the right to charge a late fee of up to 1.5% per month on outstanding balances.
  • Non-Refundable Fees: All management fees paid are non-refundable once the service period has commenced, except where otherwise required by applicable law.
  • Third-Party Costs: Any costs incurred on marketplace platforms (e.g., Amazon seller fees, advertising spend, software subscriptions) are separate from Zevitech Automation's management fees and are the client's sole responsibility.
05. No Guarantee of Results

Earnings Disclaimer & Risk Acknowledgment

Ecommerce is an inherently dynamic and competitive industry. While Zevitech Automation applies best-in-class strategies and industry expertise to grow your store, we cannot guarantee specific revenue figures, profit margins, or return-on-investment outcomes.

  • Marketplace algorithms, platform policies, and market conditions change frequently and are outside our control.
  • Supplier delays, inventory shortages, or shipping disruptions may impact store performance and are not the liability of Zevitech Automation.
  • Past performance of other client stores does not guarantee similar results for your store.
  • Account suspensions or policy violations imposed by third-party platforms (Amazon, TikTok, Walmart, eBay) are outside the control of Zevitech Automation and do not entitle the client to a refund.

By engaging our services, you acknowledge and accept these inherent business risks. We will always act in your best interests, but ecommerce investment carries financial risk.

06. Intellectual Property

Ownership of Work & Content

All intellectual property created by Zevitech Automation in the course of delivering services — including strategies, processes, templates, and proprietary systems — remains the intellectual property of Zevitech Automation unless explicitly transferred in writing.

  • Client Content: Any content, images, brand assets, or materials provided by the client remain the client's sole property. You grant Zevitech Automation a non-exclusive license to use such materials solely for the purpose of managing your stores.
  • Proprietary Systems: Our operational workflows, vendor networks, automation tools, and management frameworks are confidential trade secrets of Zevitech Automation and may not be copied, replicated, or shared without written consent.
  • Website Content: All content on the Zevitech Automation website — including text, graphics, logos, and design elements — is protected by copyright and may not be reproduced without explicit written permission.
07. Confidentiality

Mutual Non-Disclosure Obligations

Both parties agree to maintain the confidentiality of all non-public information shared during the course of the engagement. This includes, but is not limited to, business strategies, financial data, supplier relationships, client lists, and proprietary processes.

  • Zevitech Automation will not disclose your business or financial information to any third party without your prior written consent, except as required by law.
  • You agree not to share, replicate, or disclose our proprietary methods, systems, or vendor information to any third party, including competitors.
  • Confidentiality obligations survive the termination of our service agreement for a period of two (2) years.
08. Term & Termination

Duration & Ending the Agreement

The duration of the service engagement is defined in your individual service agreement. General termination conditions are as follows:

  • Client Termination: You may terminate services by providing written notice per the notice period specified in your service agreement. All outstanding fees remain due upon termination.
  • Company Termination: Zevitech Automation reserves the right to terminate or suspend services immediately if a client breaches these Terms & Conditions, fails to make payments, or engages in fraudulent or illegal activity.
  • Effect of Termination: Upon termination, we will facilitate the return of account access and any client-owned materials within a reasonable timeframe. Proprietary systems and processes remain the property of Zevitech Automation.
  • Survival: Sections relating to payment obligations, confidentiality, intellectual property, and limitation of liability survive the termination of this agreement.
09. Limitation of Liability

Our Liability to You

To the fullest extent permitted by applicable law, Zevitech Automation shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of our services, including but not limited to loss of revenue, loss of data, or business interruption.

  • Our total liability for any claim arising under this agreement shall not exceed the total fees paid by you to Zevitech Automation in the three (3) months preceding the claim.
  • We are not liable for losses caused by platform policy changes, account suspensions imposed by Amazon, TikTok, Walmart, or eBay, or any third-party actions outside our control.
  • We are not responsible for delays or failures resulting from circumstances beyond our reasonable control, including force majeure events such as natural disasters, pandemics, or government restrictions.
10. Prohibited Activities

What You Must Not Do

By using our services or website, you agree not to engage in any of the following prohibited activities:

  • Provide false, misleading, or fraudulent information to Zevitech Automation or to marketplace platforms.
  • Use our services to sell counterfeit, prohibited, or legally restricted products on any marketplace platform.
  • Attempt to reverse-engineer, replicate, or misappropriate our proprietary systems, processes, or vendor relationships.
  • Interfere with or disrupt our website, systems, or the accounts of other clients.
  • Violate any marketplace platform policies, local laws, or international trade regulations in connection with your store operations.
  • Engage in fraudulent chargebacks or withhold payments for services already rendered without legitimate dispute.
11. Governing Law & Disputes

Legal Jurisdiction & Dispute Resolution

These Terms & Conditions are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

  • Informal Resolution: In the event of any dispute, both parties agree to first attempt to resolve the matter informally by contacting Zevitech Automation at support@zevitech.com.
  • Arbitration: If informal resolution fails, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA), conducted in English.
  • Class Action Waiver: You agree to resolve disputes on an individual basis only and waive any right to participate in class action lawsuits or class-wide arbitration against Zevitech Automation.
12. Changes to These Terms

Updates to This Agreement

Zevitech Automation reserves the right to modify these Terms & Conditions at any time. When changes are made, we will update the "Last Updated" date at the top of this page. For material changes, we will notify active clients by email at least 14 days before the changes take effect.

Your continued use of our services after any changes to these Terms & Conditions constitutes your acceptance of the updated agreement. If you do not agree to the revised terms, you must notify us in writing and discontinue use of our services.
